The terms for businesses that use our chatbot platform and apps.
These terms cover the Executive AI Studio chatbot platform, which businesses use to run AI assistants that answer their customers on a website chat, WhatsApp, Facebook Messenger, Instagram and email, and the apps we build and run for clients.

These terms are an agreement between your business and Executive AI Studio
These terms are an agreement between Uprax Investments (Private) Limited, trading as Executive AI Studio ("we", "us"), a company registered in Zimbabwe under company number 126041A0272026, and the business that uses our chatbot platform or an app we provide ("you", the "client"). By creating an account or using the platform or an app you accept them. If you accept them for a business, you confirm you have the authority to do so.
If you have a signed agreement with us, it takes precedence over these terms where the two differ.
Your own customers, the people who message your assistant or use your app, deal with you under your own terms. How we handle their personal data is set out in our privacy policy.
You are responsible for your account and the people you invite
Keep your sign-in details secure and your account details accurate. You are responsible for what happens under your account, including what your staff do in the dashboard or app. Tell us straight away at jon@executiveai.studio if you think your account has been misused.
The platform and apps may be used only lawfully
You agree that you, your staff and your assistant will not:
Send spam or unsolicited messages, or message people who have not agreed to hear from you where the law or the channel's rules require that agreement.
Send or publish unlawful, harmful, deceptive or infringing content, or impersonate anyone.
Break the WhatsApp Business Messaging Policy, Meta's Platform Terms or Meta's Commerce and Business policies, or the rules of any other channel you connect.
Try to break, overload, probe or reverse engineer the platform or an app, or reach data that is not yours.
You are responsible for having any consent your customers must give before you message them.
You are responsible for what your assistant tells your customers
Your assistant answers from the knowledge, instructions, prices and settings you give it. You are responsible for that material, for what your assistant says and commits to on your behalf, and for your own relationship with your customers. That includes your own privacy notice and your lawful basis for processing their data, including their consent to its processing outside Zimbabwe where the law requires it. Review your assistant's answers, keep its knowledge up to date, and have a person ready to take over conversations it should not handle alone.
AI replies can be inaccurate
Assistants and apps on our services generate content with AI models. A reply can be wrong, incomplete or out of date, even when the knowledge it was given is correct. Check anything that matters before relying on it, and make sure your customers know they are talking to an AI assistant.
Fees follow your plan, and we give written notice before a change
You pay the fees for your plan, as agreed with us or shown in your account, together with any taxes that apply. We give you 30 days' written notice before we change your fees, and you can stop using the service before the change takes effect.
We can suspend an account for abuse or non-payment
We may suspend or close an account that breaks these terms, puts our services or other people at risk, or has fees overdue. Where we can, we tell you first and give you a chance to put things right.
You can stop using our services and ask us to close your account at any time. When an account closes, its data is deleted as described in the privacy policy.
Third-party services carry their own terms
Our services work with services run by other companies, including Meta (WhatsApp, Messenger and Instagram), Google, Anthropic and the providers listed in our privacy policy. Their own terms apply to your use of them. They can change or restrict their services, for example when Meta limits a WhatsApp number, and we cannot control those decisions.
You own your content, and we own the platform
You keep ownership of the content you put into our services and the conversations your assistant has. You give us permission to store and process that content only as needed to provide our services to you. Our platform, software and designs belong to Executive AI Studio, unless a signed agreement with you says otherwise. If you send us suggestions, we may use them without owing you anything.
Our services are provided as they are
We work to keep our services running and useful, and we provide them as they are and as available. To the extent the law allows, we make no promise that they will be uninterrupted or free of errors, or that AI replies will be accurate.
Our liability is limited to the fees you paid us in the year before a claim
To the extent the law allows, we are not liable for indirect or consequential losses, such as lost profits, lost revenue, lost data or harm to reputation, arising from your use of our services. Our total liability to you is limited to the fees you paid us in the 12 months before the claim arose. Nothing in these terms limits liability that the law does not allow to be limited, such as liability for fraud.
Zimbabwean law applies, and disputes go to the courts in Harare
These terms are governed by the laws of Zimbabwe. Any dispute about them goes to the courts of Zimbabwe sitting in Harare.
Changes to these terms are posted on this page
When these terms change, the new version appears here with a new date at the top. If a change is significant, we tell you by email before it takes effect. Using our services after that means you accept the new terms.
